Restricted Territories

You acknowledge that you are not a resident of, citizen of, or incorporated within a Restricted Territory, and you are not currently located in any of the Restricted Territories, which include, but are not limited to:

  • Algeria
  • Bangladesh
  • Bolivia
  • Belarus
  • Burundi
  • Burma (Myanmar)
  • Canada
  • Côte D'Ivoire (Ivory Coast)
  • Crimea and Sevastopol
  • Cuba
  • Democratic Republic of Congo
  • Ecuador
  • Iran
  • Iraq
  • Liberia
  • Libya
  • Mali
  • Morocco
  • Nepal
  • North Korea
  • Somalia
  • Sudan
  • Syria
  • Taiwan (Republic of China)
  • United States
  • Venezuela
  • Yemen
  • Zimbabwe
  • Any country embargoed by Canada, Panama, the United States, the United Kingdom, or the European Union.

You agree that you do not and will not attempt to misrepresent or conceal your geographical location.

Eligibility

You must be at least 18 years old (or the legal age of majority in your jurisdiction) and legally authorized to use Term Structure. You agree to use the protocol only with legally obtained (digital or non-digital) assets that you own and have full rights to use.

Risk Acknowledgement

The Term Structure protocol is provided “as is” without any guarantees of security. You acknowledge and understand the inherent risks involved, including but not limited to:

  • Market volatility
  • Smart contract vulnerabilities
  • Regulatory uncertainties
  • Potential loss of funds
  • User Conduct
  • Design or Development Defects

You acknowledge and agree that you understand and take sole responsibility for all risks associated with using Term Structure.

Compliance with Applicable Laws

You agree to use Term Structure responsibly and in accordance with all applicable laws and regulations. You represent that you will not engage in any illegal activity or infringe any other person’s legal rights when or through using Term Structure.

Non-Custodial

Term Structure services are non-custodial. When you deposit digital assets into any smart contract, you retain control over those digital assets at all times. The private key associated with the Ethereum address from which you transfer digital assets is the only private key that can control the digital assets you transfer into the smart contracts. You may withdraw digital assets from any smart contract only to the Ethereum address from which you deposited the digital assets. You alone are responsible for securing your private keys. Term Structure does not have access to your private keys.

Relationship with Term Structure

You acknowledge and agree that Term Structure is not a broker-dealer or a lender to you or any third party. None of Term Structure, its developers, and affiliates (collectively “Term Structure Persons”) is a party to any transaction underlying the protocol. Term Structure does not have a fiduciary relationship or obligation to you regarding any decisions or activities that you do when using the platform. You shall take sole responsibility for all risks associated with using Term Structure.

Disclaimer of Liability

  • None of Term Structure Persons is liable for any damages, losses, expenses, demands, or claims, whether direct or indirect, including but not limited to those in contract, tort, equity, or otherwise (“Losses”) arising from your use of the protocol.
  • You are solely responsible for your actions and any potential Losses incurred. Understanding the risks, rewards, market volatility, and secure usage practices is crucial before making any interactions on the protocol.
  • You explicitly acknowledge and understand that Term Structure is a technology-agnostic platform that consists of a code-based platform built on blockchain, and that therefore, the smart contracts are immutable and irreversible.
  • You understand the consequences of your actions resulting from the use of the Term Structure platform in this specific technological environment.
  • You understand that none of Term Structure Persons will be responsible or liable to you for any Losses and take any responsibility for, nor will be liable to you for, any use of the services, including but not limited to any Losses arising from (i) incorrectly constructed transactions, or mistyped wallet addresses; (ii) server failure or data loss; (iii) cryptocurrency wallets or corrupt files; (iv) unauthorized access to services; or (v) any third party activities, including without limitation the use of viruses, phishing, brute forcing or other means of attack against any blockchain network underlying the protocol.

Indemnity

You will indemnify and hold Term Structure Persons and the officers, directors, employees, consultants, advisors, contractors, and agents of the aforesaid persons (collectively “Term Structure Indemnitees”) harmless from and against any and all Losses, including, without limitation, reasonable legal and accounting fees arising out of or in any way connected with (a) your access to or use of Term Structure, (b) any content that you post or otherwise make available through Term Structure, or (c) your violation of these Terms.

Information Accuracy

While Term Structure strives to provide accurate and reliable information, Term Structure does not guarantee the accuracy, completeness, or suitability of the content available on the platform. You acknowledge that the platform may have limitations, and any reliance on the information provided is at your own risk.

Third-party Information

The Term Structure platform may contain links to third-party websites or platforms. These links are provided for convenience and informational purposes only. Term Structure does not endorse, control, or guarantee the content, accuracy, or safety of such third-party websites or platforms.

Access Suspension and Termination

Term Structure may suspend or terminate your access to and use of Term Structure, at its sole discretion, at any time and without notice to you. In addition, Term Structure reserves the right to modify, suspend, or disable, temporarily or permanently, the platform, in whole or in part, for any reason whatsoever, including, but not limited to, as a result of a security incident or regulation compliance.

None of Term Structure Persons will be liable for any Losses resulting from any suspension or termination, for any reason, of your access to any services of Term Structure, in whole or in part.

Non-Advice

Term Structure provides a platform to access the decentralized protocol and information about the ecosystem, governance, community, and integrations. All information is for informational purposes only and should not be considered advice, financial or otherwise.

Intellectual Property

  • Term Structure Persons own intellectual property and other rights associated with the platform and the services provided under the platform, including, but not limited to, proprietary software, text, images, trademarks, service marks, copyrights, patents, know- how, trade secrets, and designs.
  • Any of the Term Structure trademarks, names, logos, and other marks used in Term Structure as a part of the Term Structure platform, are trademarks owned by the Term Structure Persons. You may not copy, imitate or use such trademarks without our, or the applicable owner's prior written consent.
  • You acknowledge that certain aspects of the Term Structure applications may use, incorporate, or link to certain open-source components and that your use of the platform is subject to, and you will comply with, any applicable open-source licenses that govern any such open-source components.
  • Excluding third-party software that the platform has incorporated, Term Structure Persons own the services and all portions thereof, including all technology, content, and other materials used, displayed, or provided on or in connection with the platform, including all intellectual property rights therein and thereto, whether or not subject to the open-source licenses.
  • You agree not to reproduce, distribute, or use any intellectual property owned by Term Structure Persons without prior written consent from Term Structure.

Changes to Terms

  • Term Structure reserves the right to update, change, and modify these Terms in its sole discretion from time to time, without prior notice, in whole or in part, for any reason whatsoever.
  • All modifications will be effective when they are posted, and your continued access or use of Term Structure will serve as confirmation of your acceptance of those modifications. If you do not agree with any modifications to this Agreement, you must immediately stop accessing and using Term Structure. It is your responsibility to review them periodically.
  • None of Term Structure Persons will be liable for any Losses suffered resulting from any modification to these Terms.

Dispute Resolution

These Terms shall be governed by, and construed in accordance with, the laws of Singapore. Any dispute arising out of or in connection with these Terms, including any question regarding its existence, validity, or termination, shall be referred to and finally be resolved by arbitration in Singapore in accordance with the rules of the SIAC for the time being in force, which rules are deemed to be incorporated by reference in this paragraph. The seat of the arbitration shall be Singapore. The tribunal shall consist of a sole arbitrator to be appointed by the Chairman of the SIAC. The language of the arbitration shall be English. This arbitration agreement shall be governed by the laws of the Republic of Singapore.

Waiver of Rights for Class Actions

You agree that you may bring claims against the Term Structure Persons only on an individual basis, rather than as plaintiffs or class members in any purported class or representative action or proceeding. You irrevocably give up any right you may have to serve as a representative or to participate as a member of a class of claimants in any class or representative action or proceeding. You will only be allowed to seek relief (including monetary, injunctive, and declaratory relief) on an individual basis and the arbitrator cannot consolidate or join more than one person's or party's claims and cannot preside over any form of a consolidated, representative, or class proceeding. In addition, you agree that you will not be able to have any claims you have against us resolved by a jury or in a court of law.

No Third Party Rights

You agree that save for Term Structure Indemnitees who shall have rights to the extent accorded to it under these Terms, a person who is not a party to these Terms shall not have any rights whatsoever under these Terms or to enforce these Terms.

Survival

These Terms will survive any termination of your access to Term Structure, regardless of the reasons for its expiration or termination, in addition to any other provision which by law or by its nature should survive.

Entire Agreement

These Terms constitute the entire agreement between you and Term Structure regarding your use of the protocol and platform.

Headings

The headings of each paragraph herein are included solely for convenience of reference and shall not affect the interpretation or construction of any of the provisions of these terms.

Severability

If any provision of these terms is found to be invalid, the remaining provisions will remain in full force and effect.
